These Terms of Service (“Terms”) govern your access to and use of Nova Voya Technologies LLC-FZ (“Nova Voya”, “we”, “us”, or “our”) website, platform, and related services. Nova Voya is a digital-first healthcare facilitation company headquartered in Dubai, United Arab Emirates.

Our services include:

  • Health Tourism Facilitation: connecting treatment seekers with licensed healthcare providers and treatment packages;
  • Professional Licensing Support: providing consultation and end-to-end assistance to healthcare professionals seeking to obtain a Dubai Health Authority (DHA) license or related professional certifications;
  • Clinic Enablement and Partnership Services: supporting healthcare providers and clinics with treatment seeker acquisition, marketing, referral coordination, and operational enablement in compliance with the applicable healthcare regulations.

Nova Voya operates as a facilitator and technology platform, not as a healthcare provider. All medical treatments and clinical services are performed exclusively by independent, licensed professionals and healthcare institutions.

By accessing or using our website or services, you acknowledge and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our services.

We may update these Terms from time to time. Whenever we make changes, we will update the “Last Updated” date above and, if significant, provide notice on our website or by other means. It is your responsibility to review these Terms periodically for any changes. Your continued use of our services after any changes are posted constitutes acceptance of the updated Terms.

User Responsibilities

  1. Account Creation (Register New Account). When accessing our website or when creating an account with Nova Voya, you agree to provide information that is accurate, current, and complete. You are responsible for keeping your registration information up to date. Providing false, outdated, or incomplete information constitutes a breach of these Terms, and we are not liable for any issues arising from such misinformation.
  2. Account Security. You are responsible for maintaining the confidentiality of your account login credentials. You agree that only you (and any authorized individuals, if applicable) will use your account. All activities that occur under your account are your responsibility. If you suspect any unauthorized use of your account or any security breach, you must notify us immediately. Nova Voya will not be liable for any loss or damage arising from your failure to safeguard your account information.
  3. Account Data. We do not guarantee the preservation of any data or content you submit or store in your account. While we take reasonable measures to protect data, you acknowledge that it is your responsibility to back up any important information. We reserve the right to delete inactive or irrelevant data from our systems periodically. Nova Voya is not liable for any loss of data, and by using our services you accept this risk.
  4. Personal Use Only. We grant you a limited, non-exclusive, non-transferable, revocable license to use our website and services for your personal, non-commercial purposes. You may not use our services (or any content obtained from our services) for any commercial purpose without our prior written consent. You also agree not to misuse the services for any unauthorized or illegal activity. This license to use our services will be automatically revoked if you use our services in violation of these Terms.
  5. Connectivity Requirements. You are responsible for obtaining and maintaining the internet connection, data network access, and any compatible hardware or devices needed to use our services. Any fees or charges from third-party networks (such as internet or mobile providers) in connection with your use of Nova Voya are solely your responsibility. We do not guarantee that our services will function on all hardware or devices, and your use of electronic communications (e.g. the website, email, messaging) may be subject to delays or malfunctions inherent to such communications.
  6. Service Availability. Nova Voya strives to keep its services operational and accessible; however, we may suspend or discontinue parts of our services occasionally for maintenance, updates, or unforeseen disruptions. We reserve the right to suspend or remove the operation of the services (in whole or in part) at any time, without notice. You agree that Nova Voya will not be liable to you for any interruption, downtime, or inability to access the services. Your use of the services (or inability to use the services) is at your own risk.
  7. Acceptable Use. You agree that you will not use the services in any way that violates applicable laws or regulations, or these Terms. Specifically, you agree not to use the services:
    • If you are under the age of majority in your country/jurisdiction (you must be an adult legally capable of forming a binding contract to use Nova Voya’s services).
    • For any unlawful purpose or to engage in fraudulent, misleading, or malicious activities.
    • To solicit others to perform or participate in any unlawful acts.
    • To infringe upon or violate our intellectual property rights or the rights of others.
    • To collect or harvest the personal information of others without consent.
    • To upload or transmit any viruses, malware, or malicious code that could harm the functionality of our services or the systems of other users.
    • To interfere with or circumvent the security features of the services, or any related website, other websites, or the Internet.

    Engaging in any of the above prohibited actions is a breach of these Terms and may result in immediate termination of your account or access to the services, as well as potential legal action.

You agree to treat Nova Voya staff, representatives, and other users respectfully. We reserve the right to suspend or terminate your access if you engage in abusive, threatening, harassing, or discriminatory conduct toward our team or partners.

Nova Voya Services and Third-Party Involvement

Nova Voya’s services include a range of healthcare facilitation, licensing, and partnership activities designed to support both healthcare professionals and treatment seekers. Our key service categories are as follows:

1. Licensing and Professional Enablement (DHA and Related Authorities)

Nova Voya provides professional consultation and facilitation services to assist healthcare professionals in obtaining their Dubai Health Authority (DHA) eligibility letter and license, as well as in navigating credential verification, exam registration, and job placement in the UAE healthcare sector. We guide applicants through administrative processes, documentation, and exam readiness, but certain parts of the process are administered by independent third parties such as the Dubai Health Authority, DataFlow Group (credential verification), Prometric (exam testing), and potential employers or government bodies.

If you provide Nova Voya with access to third-party systems (e.g., DHA portals or verification platforms), you confirm you are authorized to do so and expressly permit us to act only for the purpose of facilitating your request. Nova Voya is not the official applicant in any third-party system and assumes no responsibility for their decisions, delays, or technical issues. Timelines we share are estimates only and depend on factors beyond our control, including third-party processing times and your own promptness in providing required documents.

2. Health Tourism Facilitation Platform

Nova Voya also operates a health tourism platform connecting treatment seekers seeking care with licensed hospitals, clinics, and specialists. We act solely as a facilitator, not a healthcare provider. Through our platform, treatment seekers can browse treatment packages or deals, make bookings, and coordinate medical travel. All healthcare procedures and clinical services are performed exclusively by independent, licensed providers who are responsible for the safety, quality, and outcome of care. Nova Voya does not provide medical advice, diagnosis, or treatment and assumes no liability for any treatment outcomes or complications. Treatment Seekers are encouraged to confirm the provider’s credentials and obtain appropriate health and travel insurance before proceeding.

3. Clinic Partnerships and Enablement Services

Nova Voya partners with licensed healthcare providers to offer clinic enablement and treatment seeker acquisition services, including marketing support, referral management, online presence enhancement, and operational consultation. Partner clinics remain independent entities and are fully responsible for compliance with the applicable healthcare laws and the quality of services delivered to treatment seekers. Nova Voya’s role is limited to marketing, coordination, and technology facilitation.

Third-Party Services and Availability

Many aspects of Nova Voya’s services depend on external parties such as government authorities, exam providers, clinics, and travel or hospitality vendors. We cannot guarantee the availability, outcome, or scheduling of such third-party services. Inclusion of a clinic, employer, or exam reference on our website or platform does not imply endorsement or assurance of success. All such services are governed by their own terms and eligibility criteria.

Information and Updates

While Nova Voya endeavors to provide accurate and current information about licensing procedures, healthcare facilities, and travel packages, final details—such as fees, eligibility criteria, timelines, or provider terms—are determined by the respective authorities or partners and may change without notice. We will make reasonable efforts to communicate significant updates, but users are advised to verify key information directly with the relevant authority or provider.

Refunds, Cancellations, and Rescheduling

Nova Voya is not responsible for refunds from third parties (e.g., DHA, DataFlow, Prometric, clinics, hospitals, hotels, or airlines). Each third party’s own refund and cancellation policy applies. We may, at our discretion, guide users on how to request refunds directly from applicable providers.

Payment Terms

By engaging Nova Voya’s services, you agree to pay the applicable fees for the specific service or package you select (as communicated to you through our website or during consultation). All fees are quoted in either United Arab Emirates Dirham or United States Dollars and exclude any applicable taxes unless stated otherwise. You are responsible for any taxes or duties payable in connection with your purchase of services.

Payment Methods

Nova Voya accepts payments through secure online channels, including credit and debit cards, electronic bank transfers, wire transfers, and authorized money exchange or remittance services. Detailed payment instructions will be provided based on the method you select. You are responsible for using the correct transfer details and for covering any applicable transfer, bank, or currency exchange fees. All payments must be made in United Arab Emirates Dirham (AED) or United States Dollars (USD) unless otherwise specified.

Service Fees for Licensing and Professional Services

Payment for Nova Voya’s professional and consulting services—including licensing guidance, DHA application assistance, document verification coordination (e.g., DataFlow), exam scheduling (e.g., Prometric), and related advisory services—is typically due upfront. We will confirm the exact fee and scope of services before you finalize your order. You must pay all amounts due in full before service delivery begins. If your service includes staged or subscription-based support, failure to pay any installment on time may result in suspension or termination of ongoing services until outstanding amounts are settled.

Health Tourism Platform Payments

  • Deposits and Confirmation: Bookings may require a deposit or full payment to confirm an appointment or treatment package.
  • Refunds: Unless otherwise specified by the provider or in these Terms, cancellations made at least seven (7) days before the scheduled appointment are eligible for a full refund of Nova Voya’s facilitation fee. Cancellations made within seven (7) days of the appointment result in a 50% refund of Nova Voya’s facilitation fee; the remaining 50% may be remitted to the provider.
  • Provider and Third-Party Payments: Accommodation, transport, or other non-medical arrangements are subject to the respective vendor’s policies. Listings that specify “Pay at Clinic” or “No Deposit Required” are handled directly between the treatment seeker and the provider, without Nova Voya collecting funds.
  • Non-Refundable Cases: Once treatment has commenced, or if you fail to appear for your appointment, all payments made to Nova Voya or the provider become non-refundable.

Clinic Partnership and Enablement Fees

Clinics and healthcare partners contracting with Nova Voya for marketing, referral, or operational enablement services agree to pay the applicable setup or performance-based fees as outlined in their specific agreement. Unless otherwise specified in writing, such partnership fees are non-refundable once campaign or referral activities have commenced.

Third-Party Payment Processing

Nova Voya may use secure, PCI-DSS–compliant third-party payment processors to handle transactions. By providing a payment method, you authorize Nova Voya and its payment partners to charge the full amount due to that payment method. You must maintain accurate and current billing details. If your payment is declined or cannot be processed, we will notify you and may suspend service until resolved. Nova Voya is not liable for delays or disruptions caused by third-party payment gateways or network errors.

Late Payments and Collection

If any amount remains unpaid beyond its due date, Nova Voya reserves the right to charge late payment interest at the maximum rate permitted by law and to recover reasonable collection costs, including legal and agency fees. Continued non-payment may lead to suspension of all current and future services.

Chargebacks and Payment Disputes

By purchasing or booking through Nova Voya, you agree not to initiate chargebacks or payment disputes without first attempting to resolve the issue directly with us. Unauthorized or unjustified chargebacks may result in immediate suspension or termination of access to our services. In such cases, Nova Voya reserves the right to recover any resulting costs or losses.

Client Documentation Requirements

To use Nova Voya’s services, all users must provide complete and accurate documentation relevant to their specific service category. Documents must be valid, current, and free of alteration or falsification.

  • Licensing Applicants: You must provide all documents required by the Dubai Health Authority (DHA) and any related verification or licensing bodies, including but not limited to passports, educational credentials, professional licenses, experience letters, and verification records (e.g., DataFlow, Prometric). You are responsible for ensuring the completeness and authenticity of all materials.
  • Treatment Seekers (Health Tourism): Treatment Seekers must provide accurate and up-to-date medical records, identification documents (e.g., passport or Emirates ID), and travel or insurance details as required for coordination of care. You are solely responsible for ensuring your information is truthful, sufficient for clinical assessment, and compliant with UAE travel and healthcare regulations.
  • Clinic Partners and Providers: Partner clinics must maintain valid facility licenses, professional registrations, malpractice insurance, and compliance with UAE healthcare laws. All clinic information—including pricing, treatment descriptions, and doctor credentials—must be accurate and current.

Failure to submit proper documentation, providing outdated or forged materials, or delays in supplying required information may result in suspension or termination of Nova Voya’s services and may also impact the processing or approval by third-party authorities. Nova Voya is not responsible for delays, disruptions, or rejections resulting from documentation issues or client omissions.

Intellectual Property Rights

All content and materials available on Nova Voya’s website and through our services – including but not limited to text, graphics, logos, buttons, icons, images, audio clips, videos, software, and compilations of data – are the exclusive property of Nova Voya or our content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

Nova Voya and its licensors retain all rights, title, and interest in and to the services and all content provided through the services. You are authorized to view and use the content on our site for your personal use in connection with our services. However, you agree not to reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of our website, services, or content without our express written permission.

This includes scraping or aggregating our content, using our content for creating derivative works, or using our brand or trademarks in any unauthorized manner. Nova Voya’s name, logo, and any product or service names or slogans included in the services are trademarks or service marks owned by us (unless otherwise stated). You must not copy, imitate, or use them without our prior written consent.

User Submissions and Feedback

We may allow you to submit inquiries, feedback, testimonials, reviews, ratings, ideas, or other content (“Submissions”) through our website, social media, email, or other channels. By submitting any content to us, you agree to the following:

  • License to Use Submissions: You grant Nova Voya a worldwide, perpetual, irrevocable, royalty-free, and exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display any Submission you provide, for any purpose, without any compensation or acknowledgment to you.
  • Ownership: You acknowledge that once submitted, your Submissions become the property of Nova Voya. We exclusively own all rights to these Submissions and are under no obligation to keep them confidential.
  • Monitoring and Removal: We are not obligated to monitor user Submissions, but we reserve the right to review, screen, and delete any Submission at our discretion.
  • Prohibited Submissions: You agree not to post or transmit any Submission that is false, misleading, or impersonates any person or entity. You must not use a false email address, pretend to be someone other than yourself, or otherwise mislead Nova Voya or third parties about the origin of any Submission.
  • Your Responsibility: You are solely responsible for any content or Submissions you provide. You must ensure that your Submissions do not violate any laws or any third-party rights (including intellectual property, privacy, or publicity rights).
  • Transmission of Data: You understand that your Submissions and any data you transmit through our services may be transferred unencrypted and involve transmissions over various networks.

Disclaimers and Limitation of Liability

No Professional or Medical Advice

The content and information provided by Nova Voya (whether on our website, in communications, or during consultations) are for general informational purposes only. We are not a healthcare provider, law firm, business advisor, immigration agency, or government authority. Nothing in our services constitutes professional medical advice, legal advice, immigration advice, business advice, or an official guarantee of licensing or treatment outcome.

Service Provided “As Is”

Nova Voya’s website and services are provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind. We do not guarantee that our services will be uninterrupted, timely, secure, or error-free. From time to time, we may temporarily suspend the services for technical or operational reasons. Trial features or beta services are provided on an “as-is” and “as-available” basis with no guarantees or warranties, and we may modify or discontinue them at our sole discretion.

No Guarantee of Results

  • Licensing and Professional Services: We do not guarantee that you will obtain eligibility approval, pass any exam, or receive a license or job offer. Decisions rest solely with the relevant authorities and employers.
  • Health Tourism and Treatment Seeker Services: We do not provide medical care and make no warranty regarding the success, safety, or outcome of any healthcare procedure performed by third-party providers.
  • Clinic Partnership and Enablement Services: We do not guarantee specific volumes of treatment seeker referrals, revenue targets, lead conversion rates, or any particular commercial outcome.
  • General Disclaimer: Any testimonials, examples, or performance indicators mentioned on our website, platform, or promotional materials are illustrative only and not a promise or guarantee of future results.

Limitation of Liability

  • To the maximum extent permitted by law, Nova Voya Technologies LLC-FZ and its affiliates, officers, employees, contractors, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, opportunity, or reputation.
  • We are not responsible for the actions, decisions, delays, or outcomes of third-party authorities such as the Dubai Health Authority (DHA), DataFlow Group, Prometric, or any employer or regulatory body.
  • We are not a healthcare provider and shall not be liable for any injury, complication, dissatisfaction, delay, or financial loss resulting from healthcare procedures, provider performance, travel or accommodation arrangements, or other third-party services.
  • We make no guarantee that information presented through our website, platform, and communications is always accurate, complete, or current. Users must verify critical details with official sources.
  • In all cases, Nova Voya’s aggregate liability for any claim shall not exceed the total fees actually paid to Nova Voya by the claimant for the specific transaction giving rise to the claim.

Third-Party Websites, Platforms, and Links

  • Our website and communications may include references or links to third-party websites or services (e.g., DHA, MOHAP, DOH, DataFlow Group, Prometric, partner clinics and hospitals, travel vendors, payment processors) not owned or controlled by Nova Voya.
  • Inclusion or display of any third-party clinic, hospital, doctor, hotel, or service on our platform does not constitute endorsement, certification, or guarantee of qualifications, quality, or compliance.
  • We are not responsible for examining or monitoring the accuracy, legality, or safety of any third-party content or services.
  • Transactions or interactions you choose to engage in with third parties are entirely at your own risk. Nova Voya is not a party to any such agreements and assumes no responsibility for any resulting loss or dissatisfaction.
  • Third-party websites and services are governed by their own terms and policies. You are responsible for reviewing and complying with those policies.
  • Nova Voya may receive referral commissions or facilitation fees from certain third-party providers or clinics when users book through our platform. Such relationships do not affect our commitment to transparency and neutrality.

Personal Information and Privacy

Your submission of personal information to Nova Voya is governed by our Privacy Policy, which is hereby incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, store, and protect your personal data. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

If you are located in the European Union, United Kingdom, or any jurisdiction with data protection laws (such as the UAE's Personal Data Protection Law (PDPL) or General Data Protection Regulation (GDPR)), you acknowledge and agree that your personal data may be collected, stored, and processed in accordance with those laws and our Privacy Policy.

Nova Voya takes appropriate technical and organizational measures to ensure lawful cross-border data transfers and protect your privacy where applicable.   • Health tourism notifications, such as booking confirmations, itinerary or appointment updates, pre-treatment instructions, post-treatment follow-up messages, and provider communications;
  • Clinic partnership communications, including treatment seeker referral notifications, performance summaries, and marketing or operational updates;
  • Financial and transactional messages, such as invoices, payment receipts, refund confirmations, or failed-payment alerts;
  • General service announcements, security alerts, and changes to Terms or policies.

Nova Voya may send such communications via email, SMS, WhatsApp, in-app notifications, or other electronic channels reasonably necessary for service delivery and compliance purposes. These communications are integral to the services provided and may not always include an opt-out option. Marketing or promotional messages will always include a clear unsubscribe mechanism in accordance with applicable regulations.

Indemnification

You agree to indemnify, defend, and hold harmless Nova Voya and our parent company, subsidiaries, affiliates, partners, officers, directors, agents, consultants, contractors, licensors, service providers, subcontractors, suppliers, and employees (collectively, the “Indemnified Parties”) from and against any and all claims, demands, losses, liabilities, damages, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of our website or services; your breach of these Terms; your violation of any applicable law or regulation; or your infringement of any rights of a third party.

Nova Voya reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such a claim. You will not settle any claim that affects Nova Voya or any Indemnified Party without our prior written approval.

Termination of Service

Nova Voya may, at its sole discretion, terminate, suspend, or restrict your account or access to our services at any time without prior notice or liability, for any reason, including violations of these Terms, fraudulent or illegal activities, or discontinuation of the services.

You may discontinue using our services at any time. Any fees already paid are generally non-refundable unless otherwise agreed in writing at Nova Voya’s sole discretion. Certain obligations (such as indemnification and limitation of liability) will survive termination.

Waiver

If Nova Voya fails to exercise or enforce any right or provision of these Terms, it shall not constitute a waiver of such right or provision. Any waiver will be effective only if in writing and signed by an authorized representative of Nova Voya.

Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed severed from these Terms.

Survival

All provisions regarding intellectual property ownership, user submissions, disclaimers of warranty, limitation of liability, indemnification, dispute resolution, and any other provisions which by their nature should survive termination shall survive and remain in effect even after your relationship with Nova Voya ends or you stop using our services.

Governing Law and Dispute Resolution

These Terms of Service, and any dispute or claim arising out of or in connection with them or with your use of Nova Voya’s services, shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction seated in the Emirate of Dubai.

Any dispute, controversy, or claim arising from or relating to these Terms shall first be subject to good-faith negotiation and mediation. If no resolution is reached, the matter shall be submitted to binding arbitration under the Dubai International Arbitration Centre (DIAC) rules, in English, seated in Dubai, UAE. Each party shall bear its own legal fees and costs unless the arbitrator determines otherwise. Class actions or consolidated proceedings are not permitted.

  • Arbitration Procedure: Conducted in Dubai, UAE (or another agreed location) in accordance with applicable rules. The arbitrator may award relief that a court could.
  • Time Limit to Raise Disputes: Any claim must be filed within one (1) year after it arose, or it is permanently barred.
  • Class Action Waiver: Proceedings are conducted only on an individual basis; class or representative actions are waived.
  • Exceptions: Parties may seek relief in small claims court for eligible disputes, and Nova Voya may seek injunctive or equitable relief in court to protect intellectual property rights.

Force Majeure

Nova Voya shall not be held liable for any delay or failure in performance due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, civil unrest, labor strikes, internet or power outages, government actions, or disruptions caused by third-party service providers.

Changes to Terms

Nova Voya reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will make reasonable efforts to notify you (e.g., by posting a notice on our website or sending an email) and update the “Last Updated” date.

Unless otherwise stated, changes become effective 7 days after posting. If you do not agree with the revised Terms, you must stop using our services before the changes take effect. Continued use after the updated Terms are in effect constitutes acceptance.

Entire Agreement

These Terms of Service, along with any policies or operating rules expressly incorporated herein (such as our Privacy Policy and any additional guidelines on our website), constitute the entire agreement between you and Nova Voya regarding your use of our website and services.

They supersede any prior agreements or communications. Any ambiguities in interpretation shall not be construed against the drafting party. Headings are for convenience only and do not affect these Terms.
